Dividend policy

The current dividend policy of PVA TePla AG aims to sustainably increase shareholder value through strategic investments in future growth.

PVA TePla AG is currently in a dynamic growth phase. We are focusing on strategically expanding our market position, developing innovative products, and sustainably strengthening our operational performance. To achieve these goals, we are making targeted investments in key areas such as research and development, building and expanding our organization, tapping into new markets, and strategic acquisitions.

Against this backdrop, our dividend policy is currently geared toward reinvestment rather than distribution. The Executive Board and Supervisory Board of PVA TePla AG have therefore jointly decided to refrain from distributing a dividend in the medium term.

Note: This dividend policy reflects the current objectives of the Management Board and Supervisory Board and may be adjusted in the future. The Annual General Meeting will decide on the proposal for the appropriation of profits submitted by the Management Board and Supervisory Board.

Share Buy-Backs

PVA TePla intends to acquire treasury shares of PVA TePla at acquisition cost totaling up to EUR 30 million (excluding incidental acquisition costs) on the stock exchange between November 22, 2024, and December 31, 2025, at the latest. With the approval of the Supervisory Board, the Management Board of PVA TePla is exercising the authorization granted by the Annual General Meeting on June 28, 2023, to acquire up to 2,174,998 shares (10% of the share capital).

The repurchased shares are to be used for M&A transactions, and for issuance to members of the Management Board, executives, and employees as part of long-term compensation models (compensation purposes).

We will provide regular updates on the progress of the share buyback program on this website.
